1. Project Definition
These Terms are to be read alongside the Quote or Scope of Work ("Project Definition") provided to you, which outlines the specific services ("Works") to be performed and the associated fees ("Fees"). The Project Definition forms an integral part of your agreement with Nythova and should be reviewed carefully before providing written approval to proceed.
Any additional services requested beyond the original Project Definition — including new features, integrations, or design changes — may incur additional fees and will require a formal Change Order signed by both parties. These Terms apply from the moment you provide written instruction or approval to commence work and cover all current and future projects between you and Nythova unless otherwise agreed in writing. Nythova reserves the right to update these Terms periodically, with advance notice provided to active clients.
2. Your Brief
You affirm that all instructions, creative briefs, materials, content, and data you provide to Nythova are either original works owned by you or properly licensed for the intended use, and do not infringe upon the intellectual property, privacy, or other legal rights of any third party. You accept full responsibility for ensuring the accuracy and completeness of all materials provided.
Nythova will carry out the agreed Works in a timely and professional manner. However, we rely on your cooperation, timely feedback, and provision of required materials to meet agreed project timelines. Delays caused by late feedback or missing deliverables may result in revised completion dates, which will be communicated to you in writing. You are responsible for maintaining independent copies of all materials submitted to Nythova. Material changes to the project brief after work has commenced may affect both timelines and fees.
3. Subcontracting
Nythova reserves the right to engage qualified subcontractors, specialist consultants, or partner agencies for portions of the Works where doing so ensures the highest quality outcome or enables timely delivery. All subcontractors engaged by Nythova are carefully vetted and bound by the same confidentiality and quality standards that apply to our own internal team.
Nythova remains fully responsible and accountable for all work performed by subcontractors we directly engage and compensate. We maintain active oversight of all subcontracted deliverables to ensure they meet your agreed specifications and quality standards. You will not be required to manage or communicate directly with subcontractors unless this has been specifically agreed upon in writing as part of your Project Definition.
4. Fees and Expenses
Quoted Fees represent the cost of services outlined in the Project Definition and do not include incidental or third-party expenses such as travel, accommodation, stock media licenses, cloud hosting subscriptions, third-party software tools, domain registrations, or other out-of-pocket costs incurred on your behalf. Any such expenses will be itemized and agreed upon with you before being charged.
Payments are due upon delivery of completed Works or as specified on your invoice. Overdue payments may result in a temporary pause of ongoing project work until the outstanding balance is settled. Any payment disputes must be raised in writing within 5 business days of the invoice date. Nythova reserves the right to charge interest on overdue amounts in accordance with applicable law. All fees are quoted in USD unless otherwise stated in your Project Definition.
5. Confidentiality & Intellectual Property
Nythova treats all client information, project details, business data, and proprietary materials as strictly confidential. We do not disclose your information to third parties except where required to deliver your project or as mandated by law. All Nythova team members and engaged contractors sign confidentiality agreements as part of their engagement. Our confidentiality obligations survive the conclusion of any project.
You warrant that all materials, content, and data you provide to Nythova are owned by you or properly licensed and do not infringe the intellectual property, privacy, or other legal rights of any third party. Upon full payment of all agreed Fees, Nythova assigns to you all intellectual property rights in the custom-developed deliverables created specifically for your project. Nythova retains the right to reference your project in our portfolio for promotional purposes unless you request otherwise in writing prior to project completion.
